TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONSULTING AI AGENTS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: a. THE USE OR THE INABILITY TO USE THE WEBSITE; b. THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION, OR SERVICES OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE WEBSITE; c. 8. Termination 8.1. We reserve the right to suspend or terminate your access to the Website and its services, with or without notice, at our sole discretion, for any reason whatsoever, including, but not limited to, breach of these Terms. 8.2. Upon termination, your right to use the Website will immediately cease. Sections 4 (Intellectual Property Rights), 5 (Disclaimer of Warranties), 6 (Limitation of Liability), 7 (Indemnification), 9 (Governing Law), and 11 (Miscellaneous) shall survive any termination of these Terms.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware.
10. Modifications to Terms 10.1. Consulting AI Agents reserves the right, at its sole discretion, to modify or replace these Terms at any time. Should a revision be material, we will endeavor to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. 10.2. Your continued use of the Website subsequent to the posting of any revised Terms will constitute your acceptance of such revisions.
11. Miscellaneous 11.1. Entire Agreement: These Terms constitute the entire agreement between you and Consulting AI Agents regarding the use of the Website. 11.2. Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. 11.3. Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Consulting AI Agents' failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
